Open Source License
The Virto Commerce Open Source License Version 3.0 ("VCOSL") consists of the Open Software License 3.0 (OSL-3.0) with the Additional Terms in Exhibit A. The original Open Software License 3.0 (OSL-3.0) can be found at: https://opensource.org/licenses/OSL-3.0
1. Grant of Copyright License. Licensor grants You a worldwide, royalty-free, non-exclusive, sublicensable license, for the duration of the copyright, to do the following:
1.1. to reproduce the Original Work in copies, either alone or as part of a collective work;
1.2. to translate, adapt, alter, transform, modify, or arrange the Original Work, thereby creating derivative works ("Derivative Works") based upon the Original Work;
1.3. to distribute or communicate copies of the Original Work and Derivative Works to the public, with the proviso that copies of Original Work or Derivative Works that You distribute or communicate shall be licensed under this Virto Commerce Open Source License;
1.4. to perform the Original Work publicly; and
1.5. to display the Original Work publicly.
2. Grant of Patent License. Licensor grants You a worldwide, royalty-free, non-exclusive, sublicensable license, under patent claims owned or controlled by the Licensor that are embodied in the Original Work as furnished by the Licensor, for the duration of the patents, to make, use, sell, offer for sale, have made, and import the Original Work and Derivative Works.
3. Grant of Source Code License. The term "Source Code" means the preferred form of the Original Work for making modifications to it and all available documentation describing how to modify the Original Work. Licensor agrees to provide a machine-readable copy of the Source Code of the Original Work along with each copy of the Original Work that Licensor distributes. Licensor reserves the right to satisfy this obligation by placing a machine-readable copy of the Source Code in an information repository reasonably calculated to permit inexpensive and convenient access by You for as long as Licensor continues to distribute the Original Work.
4. Exclusions From License Grant. Neither the names of Licensor, nor the names of any contributors to the Original Work, nor any of their trademarks or service marks, may be used to endorse or promote products derived from this Original Work without express prior permission of the Licensor. Except as expressly stated herein, nothing in this License grants any license to Licensor's trademarks, copyrights, patents, trade secrets or any other intellectual property. Exhibit A - Virto Commerce Open Source License
Additional Terms applicable to the Virto Commerce Open Source License.
These additional terms described in this Virto Commerce Open Source License (“License”) – Additional Terms shall apply to the use rights granted under this License.
By downloading or using the Original Work from any public depositories (ie GitHub, etc.) and/or any Derivative Works, you are agreeing to the terms of this License, including these Additional Terms.
II. Entity Size Restrictions
This License is limited and allows to use Original Work and/or Derivative Works solely by entity with annual group gross revenues (including annual budget in case of educational, academic, non-profit or government entities) not exceeding US$1,000,000. Any use of Original Work and/or Derivative Works by an entity with annual group revenues exceeding US$1,000,000 requires a duly executed Virto Commerce Commercial License Agreement.
III. Restrictions On Use
This License is limited and allows to use Original Work and/or Derivative Works, subject to the above Entity Size Restrictions (i.e. solely by entities with annual group revenues not exceeding US$1,000,000), solely for the Non-Production Use, as long as such have not been used in Production Environment.
This License does not allow use of Original Work and/or Derivative Works in the Production Environment. Any use of Original Work and/or Derivative Works in the Production Environment requires a duly executed Virto Commerce Commercial License Agreement.
"Non-Production Use" means internal use only by licensee and its employees for the benefit of licensee and not any third party or any affiliate of licensee, only for development, internal evaluation and testing, and demonstration purposes and solely in a non-production environment (i.e. development and testing).
“Production Environment” means the environment that is used by licensee for business or other operations of intended uses and/or is used by licensee for services and stores to be made available to licensee’s customers. Any use of Original Work and/or Derivative Works in the development of any commercial / commercially applicable product and/or solution, whether it’s for licensee’s own benefit or for the benefit of licensee’s client, shall be regarded as use in the Production Environment and shall require a duly executed Virto Commerce Commercial License Agreement.
This License is provided without any support services, maintenance or other services.
V. Virto Commerce logo and text
This License does not grant any rights to use the "Virto Commerce" logos even if such marks are included in the Original Work or Derivative Works.
However, in addition to the other notice obligations, all copies of the Original Work and all Derivative Works and copies of Derivative Works of the Original Work in Executable and Source Code form distributed must, as a form of attribution of the original author, include on each user interface screen and on program start-up or login screen the "Virto Commerce" logo and the "powered by Virto Commerce" text, visible to all users. The dimensions of the "Virto Commerce" logo must be at least 100 x 47 pixels. When users click on the "Powered by Virto Commerce" logo or the "powered by Virto Commerce" text it must direct them to https://virtocommerce.com.
VI. Breach and Termination
Any use of Original Work and/or Derivative Works in violation of License terms, including these Additional Terms, is prohibited, constitutes a breach and automatic termination of this License.
You may request Virto Commerce Commercial License that allows you to remove “powered by Virto Commerce” logo by contacting Virto Commerce sales team.
You are required to contact Virto Commerce sales team and execute Virto Commerce Commercial License Agreement before any use of the Original Work and/or Derivative Works when execution of License Agreement is required under these License terms.
Virto Commerce Commercial License has Small Business License edition which is offered free of charge if you meet the requirements of the Small Business License (mainly revenue restriction – group yearly revenue of not exceeding US 1,000,000).
